mCard terms & conditions

 

Please read these terms carefully before accessing or using the app or registering as a member of the reward programme. Your continued access to and use of this app shall constitute your acknowledgment and acceptance of these terms.

Important clauses (highlighted below), which may limit Makro's responsibility or involve some risk for you, are reflected in bold. Some of these provisions have the effect of limiting your rights in law and conferring obligations on you by virtue of your agreement to these terms, you agree to pay special attention to these clauses.

Nothing in this Agreement is intended to or must be understood to unlawfully restrict, limit or avoid any rights or obligations, as the case may be, created in terms of the Consumer Protection Act, 2008, to the extent that such legislation is applicable.

1. Definitions

 

In these terms, unless the context indicates a contrary intention, the following words shall have the meanings assigned to them:

  • "App" means the mCard™ mobile application offered by Makro for download via certain mobile application stores;
  • "Makro" / "us" / "we" / "our" means Masstores Proprietary Limited (Registration number: 1991/006805/07) operating through its Makro division;
  • "Makro Rewards Account" means a virtual account that is assigned by Makro to each Member for the purposes of accessing and enjoying Makro Rewards;
  • "Member" means any person who has registered as a member of the Rewards Programme via the App in accordance with these Terms and who has been issued a Makro Rewards Account;
  • "Promotional Period" means the period for which the Promotional Rules in respect of a Promotional Product shall apply;
  • "Promotional Products" means those Makro goods to be determined by Makro from time to time, the purchase of which may, subject to the Promotional Rules, entitle a Member to earn Rands in their Makro Rewards Account;
  • "Promotional Rules" means, in respect of each Promotional Product, the supplemental terms which apply, setting out at minimum the details contained in clause 4.4.4 below;
  • "Qualifying Purchase" means the last in-store purchase of a Promotional Product by a Member which purchase makes up the Required Quantity, as specified in the applicable Promotional Rules;
  • "Required Quantity" means the stipulated quantity of a Promotional Product required to be purchased by a Member in order for the Member to earn Rands, as stipulated in the Promotional Rules;

"Rands" means the Rewards Programme "Makro Rands" earned by a Member for Qualifying Purchases concluded in accordance with these Terms and the relevant Promotion Rules, which may only be used for Makro in store purchases and may not be redeemed for cash; "Rewards" means the rewards that a Member is entitled to enjoy, including the ability to earn and spend Rands and to access any other incentives which may be offered by Makro via the App from time to time;

"Rewards Programme" means the rewards programme established by Makro for the purposes of providing Members with access to Rewards; "Start Date" means, in respect of each Member, the date on which that Member registers for the Rewards Programme and is accepted; "Terms" means these terms and conditions, as may be updated, amended and supplemented from time to time;

“Trade Debtor” means a customer who has a current trade debtor facility with Makro; and

You" / "your" means the person who has downloaded the App and is reading these Terms.

2. Contractual Relationship

2. These Terms govern your use of the App and set out your rights and obligations in respect of the Rewards Programme.
2.1 You warrant that you have the legal capacity to enter into these Terms. You also agree to fully indemnify Makro for any breach of this clause.
2.2 Any access to or use of the App and the Rewards Programme is subject to these Terms at all times. Your access to and use of the App constitutes your acknowledgement that you have read and agreed to be bound by these Terms and a contractual relationship is accordingly established between you and Makro. If you do not agree to these Terms, you are not authorised to access or use the App and the Rewards Programme.
2.3 These Terms expressly supersede prior agreements or arrangements with you relating to the subject matter covered by these Terms.


Makro may immediately terminate these Terms or a Member's Makro Rewards Account, or generally cease offering or deny access to the App, the Rewards Programme, or any portion thereof, at any time and for any reason, upon notice to you. Any such termination by Makro shall not affect Rands already earned by a Member at the time of such termination.

Supplemental terms may apply to certain Promotional Products, such as Promotional Rules, policies for a particular event, activity or promotion, and such supplemental terms will be disclosed to you in connection with the applicable Promotional Product, event, activity or promotion. Supplemental terms are in addition to, and shall be deemed a part of, these Terms for the purposes of the applicable Promotional Product, event, activity or promotion. Such supplemental terms (including Promotional Rules) shall prevail over these Terms in the event of a conflict with respect to the applicable Promotional Product.

2. Contractual Relationship

3. Duration

These Terms will remain in force and be binding on you until you terminate your use of the App and access to the Rewards Programme or until terminated in accordance with the provisions of these Terms.

4. Rewards Programme

4.1 Eligibility

Makro has established the Rewards Programme for the benefit of its customers in terms of which it will offer Rewards to those customers and persons who join the Rewards Programme as Members.
You may only subscribe to become a Member of the Rewards Programme if you are a natural person who is a permanent resident of the Republic of South Africa. Makro shall be entitled to determine, in its sole and absolute discretion, who is eligible to become a Member of the Rewards Programme.

4.2 Registration

Registration as a Member is free and does not oblige you to purchase anything. In order to qualify for Rewards, you must register as a Member via the App. To register, you will be required to provide certain personal information, which is protected by our privacy policy (which can be accessed at https://www.makro.co.za/ OR which is set out under clause 7). When registering, you will be required to provide an email address and/or your address or identify number and a password, which will be used as your username for the Makro Rewards Account. Please keep your password private as Makro accepts no liability for any damages suffered or losses incurred from the misuse of your Makro Rewards Account.

4.3 Participation

After completion of the registration process in accordance with clause 4.2 and authentication by Makro, you will be accepted as a Member of the Makro Rewards Programme and allocated an associated Makro card number. If you are an existing Makro cardholder, upon registration as a Member, your Makro Rewards Account will be linked to your existing Makro card number.
No person other than a Member shall be entitled to participate in the Rewards Programme.
Any person, whose membership has, in the last 2 (two) years been terminated or cancelled by Makro for breach of these Terms, may not be eligible to become a Member of the Rewards Programme.
Once you have joined the Makro Rewards Account, you will be entitled to access Rewards in accordance with these Terms.

4.4 Earning Rands

Rands may only be earned and accumulated with effect from the Start Date. Makro will not award Rands for purchases made prior to the Start Date.
A Member can earn Rands when making a Qualifying Purchase, subject to any Promotional Rules. The Rands earned will be equal to the number of Rands allocated to the Qualifying Purchase by Makro, as indicated in the Rands shall be valid for a period of 36 (thirty-six) months from the date on which they are earned by a Member. Makro will notify a Member via the App when any Rands are about to expire. If a Member does not spend earned Rands within the 36 (thirty-six) month period, the Member will forfeit such Rands.
The Promotional Rules published in respect of each Promotional Product shall specify the following –

  • the name and other relevant specifications of the Promotional Product;
  • the Required Quantity in order to make a Qualifying Purchase;
  • the maximum number of Qualifying Purchases a Member can make in a Promotional Period;
  • the length of the Promotional Period;
  • the number of Rands which you would receive as a Reward by making the Qualifying Purchases; and
  • any other terms relevant to the promotion in question.

Within each Promotional Period, a Member will earn Rands upon making a Qualifying Purchase, subject to the maximum number of Qualifying Purchases stipulated in the Promotional Rules applicable to the Promotional Product in question. Subject to clause 4.4.10 below, Rands will be accumulated directly to a Member's Makro Rewards Account as soon as a Qualifying Purchase is made in accordance with the applicable Promotional Rules and such Qualifying Purchase is recorded at the relevant Makro store's point of sale.

When a Member returns any goods purchased from a Makro store and is eligible for a refund (in accordance with Makro's refund policy), the Member may elect to receive such refund in the form of a credit of Rands equal to the refund amount into the Member's Makro Rewards Account.

The Member agrees that Rands are non-negotiable and non-transferable except as set out in these Terms other than that Rands may be transferred for redemption purposes between Members, subject to Makro's approval and in accordance with this clause 4.4 and clause 4.5 below and a Member may elect to donate Rands to one of the charities selected by Makro.

A Member may not sell, issue, exchange, barter or redeem Rands for cash. Rands may take up to 2 (two) working days from the date upon which a Qualifying Purchase is affected by a Member to reflect on the Member's Makro Rewards Account and become effective. In the event that Rands are not reflected within this period, the Member must contact Makro requesting the Rands to be credited. If Makro receives no written objection concerning the allocation of Rands within 7 (seven) days from the expiry of the 30 (thirty) day period, any Qualifying Purchase and allocation of Rands reflected in such Makro Rewards Account shall be deemed to have been approved and ratified by the Member. Makro reserves the right, at its election, to refuse to record or honour and to cancel, suspend or reverse any Rands earned or accumulated if - the Rands were awarded in error and/or accumulated by the member as a result of fraud or pursuant to any illegal activity; or

4.4.11.1.2 A qualifying purchase has not been fully settled by the member or if qualifying purchases have been reversed. Any cancellation, suspension or reversal of Rands in accordance with clause 4.4.11 above, will be reflected on the member's Makro rewards account. If Rands are cancelled, reversed or suspended, the member shall receive no compensation for same and such cancelled, reversed or suspended Rands shall not be capable of being spent.

4.5 Spending Rands

A Member shall be entitled to spend Rands earned and accumulated when making a purchase of goods at any Makro store during the trading hours of the relevant Makro store. Rands can only be spent against the purchase price of any goods purchased by a Member in a Makro store at the point of sale. The Member will receive a push notification via the App requiring authorisation prior to redemption of any Rands.
A Member shall not be entitled to revoke, cancel or amend any spend request once the Member has authorised the redemption in accordance with clause 4.5.1 above.
4.5.3 Rands may be donated to an approved charity by Makro on behalf of a Member. In such instance, Makro will upon request, issue a tax certificate to the Member to evidence such donation.
4.5.4 Rands can be donated as a gift to another Member's Makro Rewards Account.

4.6 Other Rewards

Makro may, from time to time and in its sole discretion, make other incentives available through the Rewards Programme and the App. Such Rewards shall at all times be subject to these Terms as may be supplemented in accordance with clause 4.5 above. Any Rands that may be credited by Makro into a Member’s Makro Rewards Account for any reason whatsoever may not be converted to cash.

5. Use of the App

5.1 License

Subject to your compliance with these Terms, Makro grants you a limited, non-exclusive, non-sub-licensable, revocable, non-transferable license to: (i) access and use the App on your personal device solely in connection with your Makro Rewards Account and the Rewards Programme; and (ii) access and use any content, information and related materials that may be made available through the App, in each case solely for your personal, non-commercial use. Makro and Makro’s licensors reserve any rights not expressly granted herein.

5.2 Restrictions

You may not: (i) remove any copyright, trademark or other proprietary notices from any portion of the App or the Rewards Programme; (ii) reproduce, modify, prepare derivative works based upon, distribute, license, lease, sell, resell, publicly display, publicly perform, transmit, stream, broadcast or otherwise exploit the App and/or the Rewards Programme except as expressly permitted by Makro; (iii) decompile, reverse engineer or disassemble the App and/or Rewards Programme except as may be permitted by applicable law; (iv) link to, mirror or frame any portion of the App; (v) cause or launch any programs or scripts for the purpose of scraping, indexing, surveying, or otherwise data mining any portion of the App or unduly burdening or hindering the operation and/or functionality of any aspect of the App; or (vi) attempt to gain unauthorised access to or impair any aspect of the App or their related systems or networks. The licence granted does not entitle you to (i) distribute, disassemble, adapt, translate, transmit, modify, copy, sell, sub-licence, lease, assign, publish, make available to any person or otherwise use the Makro content or any other content accessed via the App for any purpose, either directly or indirectly, in whole or in part, by any means whatsoever; and (ii) do, allow or permit anything which would infringe or otherwise prejudice the proprietary rights of Makro or its licensors.

5.3 Ownership

The App and Rewards Programme and all rights therein are and shall remain Makro's property or the property of Makro's licensors. Neither these Terms nor your access to and/or use of the App and/or Rewards Programme convey or grant to you any rights: (i) in or related to the App except for the limited license granted above; or (ii) to use or reference in any manner Makro’s company names, logos, product and service names, trademarks or Makro marks or those of Makro’s licensors.

5.4 Third Party Content

The App may contain links to other sites. Makro disclaims any liability for the accuracy of any information, data, opinions or advice contained in such sites and any access by you to such sites is entirely at your own risk. You acknowledge that different terms of use and privacy policies may apply to your use of third party content. Makro does not endorse or recommend any such third parties, nor any third party content and in no event shall Makro be responsible or liable for any products, services or content of any third parties.

5.5 User Provided Content

Makro may, in Makro’s sole discretion, permit you from time to time to submit, upload, publish or otherwise make available to Makro through the App, textual, audio and/or visual content and information, including commentary and feedback related to the Rewards Programme, initiation of support requests, and submission of entries for competitions and promotions ("User Content"). Any User Content provided by you remains your property. Subject always to the terms of the clause 7, by providing User Content to Makro, you grant Makro a worldwide, perpetual, irrevocable, transferable, royalty-free license, with the right to sublicense, use, copy, modify, create derivative works of, distribute, publicly display, publicly perform, and otherwise exploit in any manner such User Content in all formats and distribution channels now known or hereafter devised (including in connection with Makro's business), without further notice to or consent from you, and without the requirement of payment to you or any other person or entity.

You warrant that: (i) you either are the sole and exclusive owner of all User Content or you have all rights, licenses, consents and releases necessary to grant Makro the license and rights to the User Content as set forth above; and (ii) neither the User Content nor your submission, uploading, publishing or otherwise making available of such User Content nor Makro's use of the User Content as permitted herein will infringe, misappropriate or violate a third party’s intellectual property or proprietary rights, or rights of publicity or privacy, or result in the violation of any applicable law or regulation. You agree to not provide User Content that is defamatory, slanderous, hateful, violent, obscene, pornographic, unlawful or otherwise offensive, as determined by Makro in its sole discretion. Makro may, but shall not be obligated to, review, monitor, or remove User Content, at Makro’s sole discretion and at any time and for any reason, without notice to you.

5.6 Mobile Device Requirements

You are responsible for ensuring that your device used to access the App is compatible for use with the App and you agree to use current, appropriate software/hardware and facilities for this purpose. Makro expressly disclaims any liability for you failing to access the App and/or the Rewards Programme as a result of or related to a device. Additionally, Apple Inc., Google, Inc., Microsoft Corporation or BlackBerry Limited and/or their applicable international subsidiaries and affiliates will be third-party beneficiaries to this contract if you access the App developed for Apple iOS, Android powered mobile devices, respectively. These third party beneficiaries are not parties to this contract and are not responsible for the provision or support of the App in any manner. Your access to the App using these devices is subject to terms set forth in the applicable third party beneficiary’s terms of service.

6. Network Access and Devices

You are responsible for obtaining the data network access necessary to use the App and access your Makro Rewards Account. Your mobile network’s data and messaging rates and fees may apply and you shall be responsible for such rates and fees. You are responsible for acquiring and updating compatible hardware or devices necessary to access and use the App and any updates thereto. Makro does not guarantee that the App, or any portion thereof, will function on any particular hardware or device. In addition, the App may be subject to malfunctions and delays inherent in the use of the Internet and electronic communications. Makro hereby disclaims any liability for any delay in, the unavailability or inaccessibility of the app resulting from the hardware/device used to access the app and/or any third party network.

7. Privacy Policy

Makro respects your privacy and will take reasonable measures to protect it, as more fully detailed below. Should you decide to register as a Member on the App, we may require you to provide us with personal information which includes but is not limited to -

  • your name and surname;
  • your email address;
  • your mobile number;
  • your identity number; and
  • your date of birth; and
  • your business details if you register as a business

To amend any personal information provided to us including your registration particulars please click on “Profile and Preferences" where you can edit your details. In registering as a Member, you are required to provide Makro with complete and accurate information about yourself. By doing so, you warrant that the information provided is correct.

You may choose to provide additional personal information to us, in which event you agree to provide accurate and current information, and not to impersonate or misrepresent any person or entity or falsely state or otherwise misrepresent your affiliation with anyone or anything.
Subject to clause 7.11 below, we will not, without your express consent:

  • use your personal information for any purpose other than as set out below:
  • in relation to your membership with the Rewards Programme and your Makro Rewards Account;
  • to contact you regarding current or new Promotional Products or Rewards or any other goods offered by us or any of our divisions and/or partners (unless you have opted out from receiving marketing material from Makro);
  • to inform you of new features, special offers and promotional competitions offered by us or any of our divisions and/or partners (unless you have opted out from receiving marketing material from Makro); and
  • to inform you of new features, special offers and promotional competitions offered by us or any of our divisions and/or partners (unless you have opted out from receiving marketing material from Makro); and
  • to improve our product selection and your experience on our App by, for example, monitoring your browsing habits; or
  • disclose your personal information to any third party other than as set out below:
  • to our employees and/or third party service providers who assist us to interact with you via our App, email or any other method, in relation to your Makro Rewards Account, and thus need to know your personal information in order to assist us to communicate with you properly and efficiently;
  • to our divisions and/or partners (including their employees and/or third party service providers) in order for them to interact directly with you via email or any other method for purposes of sending you marketing material regarding any current or new goods or services, new features, special offers or promotional items offered by them (unless you have opted out from receiving marketing material from Makro);
  • to law enforcement, government officials, fraud detection agencies or other third parties when we believe in good faith that the disclosure of personal information is necessary to prevent physical harm or financial loss, to report or support the investigation into suspected illegal activity, or to investigate violations of these Terms; and
  • to our service providers (under contract with us) who help with parts of our business operations (fraud prevention, marketing, technology services etc.). However, our contracts dictate that these service providers may only use your information in connection with the services they perform for us and not for their own benefit.

We are entitled to use or disclose your personal information if such use or disclosure is required in order to comply with any applicable law, subpoena, order of court or legal process served on us, or to protect and defend our rights or property. In the event of fraudulent activity, Makro is entitled to disclose relevant personal information for criminal investigation purposes or in line with any other legal obligation for disclosure of the personal information, which may be required of it. We will ensure that all of our employees, third party service providers, divisions and partners (including their employees and third party service providers) having access to your personal information are bound by appropriate and legally binding confidentiality obligations in relation to your personal information. We will:

  • treat your personal information as strictly confidential, save where we are entitled to share it as set out in this policy;
  • take appropriate technical and organisational measures to ensure that your personal information is kept secure and is protected against unauthorised or unlawful processing, accidental loss, destruction or damage, alteration, disclosure or access;
  • provide you with access to your personal information to view and/or update personal details;
  • promptly notify you if we become aware of any unauthorised use, disclosure or processing of your personal information;
  • provide you with reasonable evidence of our compliance with our obligations under this policy on reasonable notice and request; and
  • upon your request, promptly return or destroy any and all of your personal information in our possession or control, save for that which we are legally obliged to retain.

We will not retain your personal information longer than the period for which it was originally needed, unless we are required by law to do so, or you consent to us retaining such information for a longer period. Makro undertakes never to sell or make your personal information available to any third party other than as provided for in this policy. Whilst we will do all things reasonably necessary to protect your rights of privacy, we cannot guarantee or accept any liability whatsoever for unauthorised or unlawful disclosures of your personal information, whilst in our possession, made by third parties who are not subject to our control, unless such disclosure is as a result of our gross negligence.

If you disclose your personal information to a third party, such as an entity which operates a website linked to the App or anyone other than Makro, Makro shall not be liable for any loss or damage, howsoever arising, suffered by you as a result of the disclosure of such information to the third party. This is because we do not regulate or control how that third party uses your personal information. You should always ensure that you read the privacy policy of any third party.
You consent to the processing of your personal information by Makro in accordance with the above.

Breach and Termination

 

Makro may stop you from using the app to access the rewards programme if you breach a clause of these terms and do not remedy it within 5 (five) days after we have asked you to. we may still take other steps available to us, including applying to court for an urgent interdict order against you.
Makro or you may cancel these Terms by giving 30 (thirty) days' prior written notice to the other, except that Makro in its sole discretion may cancel these Terms without prior notice to you on reasonable grounds when deemed appropriate. You agree that you will immediately uninstall the App on termination.
Every member accepts that Makro may, in its sole and absolute discretion, from time to time, amend, replace, withdraw or substitute the Rewards Programme or the terms and conditions relating thereto or any part thereof without incurring any liability whatsoever. Makro shall give the Members notification of any such amendment, termination, withdrawal or substitution on the landing page of the App or through any other reasonable medium that Makro may deem appropriate. No alteration, amendment or termination of the Rewards Programme will affect any Rands that have already been accumulated at the time.

Disclaimer and Limitation of Liability

9.1 Disclaimer

 

Makro makes no representation, warranty, or guarantee regarding the reliability, timeliness, quality, suitability or availability of the app and/or Rewards Programme, or that the app and/or the Rewards Programme will be uninterrupted or error-free. you agree that the entire risk arising out of your use of the app and/or the rewards programme remains solely with you, to the maximum extent permitted under applicable law.

9.2 Limitation of Liability

 

To the maximum extent permitted by law, Makro shall not be liable for any losses (including, without limitation, any direct, indirect, special, incidental or consequential damages, whether arising out of contract, statute or delict or otherwise and regardless of whether Makro was advised of the possibility of such loss or damage) arising out of:

  • your use of or reliance on the app and/or the rewards programme or your inability to access or use the app and/or your Makro rewards account;
  • causes beyond Makro’s reasonable control;
  • any damage that is suffered by a member as a result of loss or theft;
  • transfers of Rands made to other members' Makro rewards accounts due to the input of incorrect information;
  • any interruption, malfunction, downtime or other failure of the purchase processing software system or payment terminal or third party system or any component thereof for whatever reason;
  • any product unavailability or price fluctuations, whether due to currency fluctuations, increases in taxes or otherwise;
  • any technical or other problem (interruption, malfunction, downtime or other failure) which affects the app, the rewards programme and/or your Makro rewards account, a third-party system or any part of any database, for any reason;
  • any personal information or other data which is directly or indirectly lost or damaged because of technical problems, power failures, unlawful acts (such as data theft), any harmful computer program or virus, or your own negligence; and
  • computer viruses or destructive codes on Makro's systems or third party systems or programming defects
  • the limitations and disclaimer in this section 9 do not purport to limit liability or alter your rights as a consumer that cannot be excluded under applicable law.

10. Changes to these Terms

 

Makro may amend these Terms from time to time. Amendments will be effective upon Makro's posting of such updated Terms on the App's landing page. Your continued access or use of the App after such posting constitutes your consent to be bound by the Terms, as amended and/or supplemented.

Without detracting from clause 10.1, you will be allowed to cancel these Terms and de-install the App upon termination in the event that you do not accept any material changes made by Makro to these Terms or the Rewards Programme, by giving a 30 (thirty) days' written notice to Makro.

11. Other Provisions

11.1 Applicable law and jurisdiction

 

The laws of the Republic of South Africa shall govern these Terms. You consent to the non-exclusive jurisdiction of the Magistrates Court. However, Makro may elect to institute proceedings in the High Court (in its sole discretion), in which case Makro and you consent to the non-exclusive jurisdiction of the High Court of South Africa (Gauteng Local Division, Johannesburg), or any successor thereto.

11. 2 Notice

 

Makro may give you notice under these Terms by means of a general notice on the App landing page, electronic mail to your email address, or by written communication sent to your address as set forth in your profile. You may give notice to Makro by written communication to Makro's address at 16 Peltier Drive Sunninghill 2191.

11.3 General

 

You may not assign or transfer these Terms in whole or in part without Makro’s prior written approval. You give your approval to Makro for it to assign or transfer these Terms in whole or in part, including to: (i) a subsidiary or affiliate; (ii) an acquirer of Makro’s equity, business or assets; or (iii) a successor by merger. No joint venture, partnership, employment or agency relationship exists between you and Makro.

If any provision of these Terms is held to be illegal, invalid or unenforceable, in whole or in part, under any law, such provision or part thereof shall to that extent be deemed not to form part of these Terms but the legality, validity and enforceability of the other provisions in these Terms shall not be affected. In that event, the parties shall replace the illegal, invalid or unenforceable provision or part thereof with a provision or part thereof that is legal, valid and enforceable and that has, to the greatest extent possible, a similar effect as the illegal, invalid or unenforceable provision or part thereof, given the contents and purpose of these Terms. These Terms constitute the entire agreement and understanding of the parties with respect to its subject matter and replaces and supersedes all prior or contemporaneous agreements or undertakings regarding such subject matter. In these Terms, the words “including” and “include” mean “including, but not limited to.”
Trade Debtor card has to be present in order to pay using the trade debtor facility and Trade Debtor cannot present card from application platform.
Makro shall, to the extent allowed by law, be entitled in its sole discretion to set-off mWallet™ funds against a Trade Debtor’s account balance.
